We introduce business owners and founders to potential investors and then allow those investors and business owners / founders to interact directly. Before doing so, we will ask you to self-certify that you are as a sophisticated investor for the purposes of the restriction on promotion of non-mainstream pooled investments
There are two categories you can self-certify as:
A) High Net Worth Individual
You must meet ONE of:
- net income of at least £100,000 in the last financial year; or
- net assets of at least £250,000 throughout the last financial year
Assets exclude primary residence, pension rights and insurance.
B) Self-Certified Sophisticated Investor
You must meet at least ONE of these four –
- Made more than one investment in an unlisted company in the previous two years;
- Worked in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises, in the last two years;
- Been the director of a company with an annual turnover of at least £1m in the last two years; or
- Been a member of a network or syndicate of business angels for more than six months
The process:
- Choose your category. You can't tick both on the same form.
- Read the risk warning. The platform hereby give you a prescribed warning that you will lose FCA protections - no FOS complaint, no FSCS compensation, and promotions may not be FCA-approved.
- Sign the prescribed statement. Wording is set by law, you cannot write your own. It starts:
"I declare that I am a self-certified sophisticated investor for the purposes of the restriction on promotion of non-mainstream pooled investments..."
and then you confirm you meet A, B, C or D above and that you understand you can lose protections.
We must have a 'reasonable belief' you have signed it. In practice it's a digital signature + date on the platform. Submit by email to – pitchedeck@gunning.eu.
We will keeps it on file in a secure environment. You don't send it to the FCA or Central Bank.
Validity 12 months. After 12 months you need to re-sign.
Article 14 allows us to send you follow-up promotions on the same deal within 12 months without a new statement.
